Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and XP Central LLC ("XP Central," "we," "us," or "our") governing your use of xpcentral.com (the "Site") and any in-person services offered by XP Central, including game station rentals, private events, and tournaments (together, the "Services"). By creating an account, placing an order, booking a rental or event, or signing up for a tournament, you agree to these Terms. If you do not agree, please do not use the Site or Services.

1. Who We Are

XP Central is operated by XP Central LLC. XP Central is currently in pre-launch/under-construction mode, and a specific physical business address has not yet been finalized. Once our physical location is confirmed, it will be posted on the Site and incorporated into these Terms and our Liability Waiver.

2. Eligibility & Age Requirements

Age requirements differ depending on whether you're just browsing/shopping online versus physically visiting XP Central for a rental, tournament, or private event:

• Ages 13 and up may use rental stations, attend private events, and participate in tournaments without a supervising adult present.
• Ages 10–12 may participate with a parent or legal guardian's signed acceptance of our Liability Waiver. The parent/guardian does not need to be physically present during the session.
• Ages 5–9 may participate only with a parent or legal guardian physically present and directly supervising them for the entire session.
• Under 5 must remain under the direct, constant supervision of an accompanying parent/guardian at all times and may not independently operate rental stations or equipment.

Full details, including how signatures/acceptance are handled, are in our Liability Waiver & Release. Consistent with our Privacy Policy, we do not knowingly collect personal information online from children under 13 through account creation.

3. Accounts

You're responsible for keeping your account credentials confidential and for all activity that happens under your account. Notify us promptly at marcovolt3@gmail.com if you believe your account has been compromised.

4. Orders, Pricing & Payments

All prices are listed in U.S. dollars and are subject to change without notice until an order is placed. Payments for merchandise are processed through PayPal or accepted in person, as described at checkout. We reserve the right to cancel or refuse any order affected by a pricing error, stock error, or suspected fraud, in which case we'll notify you and issue a refund for any amount already collected.

5. Rentals, Private Events & Tournaments

Booking a game station rental, private event, or tournament slot means you agree to:

• Our Liability Waiver & Release, which covers assumption of risk and responsibility for equipment while on our premises;
• Our Refund & Cancellation Policy for rentals and private events; and
• Our Tournament Rules & Code of Conduct, if applicable.

6. Merchandise & "As-Is" / Final Sale Items

Some items -- primarily older consoles and hardware -- are sold "as-is" and marked with a red tag. These items are final sale and not eligible for return or refund. All other merchandise refund and return terms are described in our Refund & Cancellation Policy.

7. Prohibited Conduct

While using the Site or visiting XP Central in person, you agree not to:

• Provide false information or impersonate another person;
• Attempt to defraud XP Central or other users, including through payment fraud or chargebacks made in bad faith;
• Misuse, damage, or tamper with rental stations, consoles, PCs, or other equipment;
• Harass, threaten, or abuse staff, other customers, or tournament participants;
• Cheat, exploit bugs, or collude in tournaments (see our Tournament Rules for specifics); or
• Violate any applicable law while using the Site or Services.

We may refuse service, cancel bookings, disqualify tournament participants, or terminate accounts for violating this section, without refund of any non-refundable fees already paid.

8. Intellectual Property

The XP Central name, logo, and Site content are owned by XP Central LLC or our licensors. Product names, cover art, and trademarks for the games and hardware we sell belong to their respective publishers, developers, and manufacturers. If you believe content on our Site infringes your copyright or trademark, see our DMCA / IP Notice page for how to submit a claim.

9. AI Shopping Assistant ("XP Bot")

XP Bot can help you search products, answer questions, and add items to your cart, but it will never complete a purchase on your behalf. You must always review your cart and manually confirm payment at checkout yourself.

10. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available." We do not guarantee that the Site will be uninterrupted, error-free, or perfectly secure, and we make no warranties of merchantability or fitness for a particular purpose beyond what is required by applicable law.

11. Limitation of Liability

To the fullest extent permitted by law, XP Central LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Services. Where liability cannot be fully excluded, our total liability for any claim relating to a specific order, rental, event, or tournament entry is limited to the amount you paid for that specific order, rental, event, or entry. This section does not limit or replace the separate assumption-of-risk and release terms in our Liability Waiver, which governs physical injury and property-damage claims arising from in-person use of our premises and equipment.

12. Indemnification

You agree to indemnify and hold XP Central LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of our premises or equipment, or violation of any law or third-party right.

13. Termination

We may suspend or terminate your account or refuse service at any time, with or without notice, for conduct we believe violates these Terms or is harmful to XP Central, other customers, or third parties.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of [State to be confirmed], without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site or Services will be resolved in the state or federal courts located in that state, unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time, especially as XP Central moves from pre-launch into full public operation. Changes will be posted on this page with an updated "Last updated" date. Continuing to use the Site or Services after changes take effect means you accept the updated Terms.
